Regulatory information
Navantia, as a State-Owned Commercial Company, is governed by the provisions of Law 40/2015 of 1 October on the Legal Regime of the Public Sector, by the provisions of the Law on the Assets of Public Administrations (Law 33/2003 of 3 November on the Assets of Public Administrations) and by private law, specifically by Royal Legislative Decree 1/2010 of 2 July, which approves the Consolidated Text of the Capital Companies Act (hereinafter LSC), except in those matters to which budgetary, accounting, personnel, economic-financial control and procurement regulations apply.
From the above it follows that Navantia is also subject to the Organic Law of the Court of Auditors (Organic Law 2/1982 of 12 May on the Court of Auditors), the General Budget Law (Law 47/2003 of 26 November, General Budget Law), the Public Sector Contracts Law (Law 9/2017 of 8 November, transposing into Spanish law Directives 2014/23/EU and 2014/24/EU of the European Parliament and of the Council of 26 February 2014), the Law on Transparency, Access to Public Information and Good Governance (Law 19/2013 of 9 December), as well as the Law Regulating the Protection of Persons who Report Regulatory Infringements and the Fight against Corruption (Law 2/2023 of 20 February).
Additionally, and in accordance with Article 321 and related articles of the aforementioned Public Sector Contracts Law, Navantia has approved “internal procurement instructions” (Internal Procurement Instructions of Navantia, S.A., S.M.E.) with the aim of ensuring that the award procedures, in which the Company acts as the contracting entity, comply with the principles of publicity, competition, transparency, confidentiality, equality and non-discrimination, and that contracts are awarded to those who submit the best offer.
Navantia's share capital is wholly owned by the State Industrial Holdings Company (SEPI), whose basic legal regime is constituted by Law 5/1996 of 10 January, establishing certain public law entities.
Navantia is therefore subject to a set of homogeneous principles of action defined by its shareholder and is equally subject to the controls established, in general, for the entire State public business sector.
Finally, due to its activity in the development of military naval programmes, its strategic nature and its service to national security, Navantia is subject to Law 9/1968 of 5 April on Official Secrets.
