The Business Code of Conduct sets out the standard of conduct that Navantia seeks to uphold across all its business activities and is a written reflection of its commitment to its principles and values.
The Business Code of Conduct applies to all those who provide services at Navantia as directors, executives or employees, who must ensure that their behaviour complies with the standards set out therein.
Navantia also has a specific Code of Conduct for Business Partners. This Code is aimed at all customers, partners, suppliers, advisers and other persons or entities that have dealings with Navantia and is intended to define their behaviour parameters, through basic Principles of conduct, for the duration of their relationship with our Company.
This Code of Conduct for Business Partners must be accepted by them and will be attached to their respective contracts.
Navantia has developed a model for preventing the commission of criminal offences, as well as compiling the procedures and controls currently in place for the effective prevention and mitigation of such risks. Navantia’s Compliance Manual describes the Compliance System implemented by the company from the perspective of the Spanish Criminal Code.
To this end, Navantia has a Compliance Manual that provides a detailed analysis of the criminal risks that could potentially arise in the various areas of Navantia, taking into account, on the one hand, the existing policies and controls and, on the other, the sensitivity to criminal risks detected in specific processes, depending on the sector and the activities carried out by Navantia.
The purpose of this Manual, as well as of the other procedures and policies developed, is to ensure (i) an effective culture of ethics and compliance within the Company and (ii) to minimise the risk of unlawful behaviour on the part of all those who provide services at Navantia as directors, executives and employees, as well as representatives, agents and other collaborators on whom it relies in carrying out its activities.
This is an autonomous body for initiative and control, entrusted by the Board of Directors with promoting and coordinating the implementation, supervision and control activities, as well as the continuous improvement of the Compliance Management System.
It is made up of the Director of the Board Secretariat and Compliance, who acts as Chair, and the Directors of Human Resources (HR), Legal Affairs (DAJ), Finance (DIF) and Technology and Digital Transformation (DTTD).
As a control body, the Compliance Committee has a direct line to Navantia’s Board of Directors, to which it regularly reports on its main activities.
Navantia promotes active disclosure and meets its obligations by periodically and regularly publishing relevant information to ensure transparency in its activities, making it available to citizens.
The organisation Transparency International positively assesses this active disclosure by Navantia and places the company at level “C” in its latest Defence Companies Anti‑Corruption and Corporate Transparency Index (DCI), published in February 2021. The index assesses the public commitment to combating corruption and transparency in the policies and corporate procedures of 134 major defence companies worldwide.
Navantia’s Ethics Channel is a communication channel through which employees, suppliers, agents, business partners and other third parties related to the company can report suspected or actual incidents that may be contrary to the law (criminal or administrative, serious or very serious) or to the conduct laid down in Navantia’s Business Code of Conduct.
This mechanism is also available for submitting queries on questions that may arise regarding the application of the company’s internal rules and procedures relating to Regulatory Compliance.
